Contract

  1. Services. Agency agrees to develop an ad for Client’s products or services.

  2. Fees. Client will pay Agency the fee specified in the confirmation email for the services provided under this contract.

  3. Payment Terms. Invoices will be sent to Client via PayPal. Payment is due within 7 days of the invoice date. Late payments will be subject to a 10% late fee.

  4. Approval of Final Product. Client will have the right to approve the final product of the ad. If Client does not approve the final product within 3 days of the delivery date, Agency will make revisions to the product at no additional charge.

  5. Intellectual Property Rights. All intellectual property rights to the ad, including but not limited to copyrights, trademarks, and trade secrets, will belong to Agency. Client will be granted a non-exclusive, royalty-free license to use the ad for its own purposes.

  6. Confidentiality. Both parties agree to keep all confidential information disclosed by the other party during the course of this contract confidential. This confidentiality obligation will survive the termination of this contract. Songbird Ads will not publish the ad created for the client as part of their portfolio unless expressly allowed by client.

  7. Applicable Law. This contract will be governed by and construed in accordance with the laws of the State of Florida.

  8. Severability. If any provision of this contract is held to be invalid or unenforceable, such provision will be struck from this contract and the remaining provisions will remain in full force and effect.

  9. Entire Agreement. This contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

  10. Waiver. No waiver of any provision of this contract will be effective unless in writing and signed by both parties.

  1. Binding Effect. This contract will be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
